Fiduciary Duties of the Officers and Directors

The fiduciary duties of the directors and the officers of the company are anchored on the need to protect the stakeholders. 

Nonetheless, the fiduciary duties if the directors and officers of the company is not towards the stakeholders, but towards the principal (company). 

Fiduciary duty can be identified by assessing the relationship and obligation of the directors towards the principal. This can be justified by contracts and the function of the directors in the company.

Lastly, the relationship and obligation of the director or officer will not be assessed by the use of labels ,but it will done in totality.
