As a key statement from the said case, the presence of fiduciary duty of the directors and the officers is not solid grounds to define their fiduciary duties to the company.  

This can come from three major factors, first, the fiduciary duty of a person to a company that does not mean that the person's actions is related to his/her fiduciary duty. 

Secondly, the effects or the magnitude of the fiduciary duty of a person will be determined in line with the facts of the said case. The effects of the said fiduciary duty will most likely depend on the nature of the events and activities of the person.
